Choosing the Right Entity for a China Company: A Practical Guide for Founders from Kazakhstan

A practical overview of the main legal forms foreign founders from Kazakhstan can use to set up a business in China, including the WFOE, joint venture, representative office and branch, with notes on capital, liability and practical trade-offs. General information only, not legal or tax advice.

So you have decided to build something in China. Perhaps you are a Kazakhstani founder selling goods on cross-border e-commerce platforms, a trading company sourcing from Chinese factories, or a technology team that wants a local presence close to suppliers and customers. One of the first decisions you will face is deceptively simple: what kind of legal entity should you register?

This article gives a practical overview of the main options available to foreign investors in China, with founders from Kazakhstan in mind. It is general information only and is not legal or tax advice. Rules change, and local implementation varies by city and sector, so any decision should be confirmed with a qualified Chinese law firm, a licensed accounting firm and, where relevant, your advisers in Kazakhstan.

The short list of options

Foreign investors in China generally choose between four structures:

Each has a different profile in terms of capital, liability, control, tax treatment and administrative burden. The right choice depends on what you actually intend to do in China, not on which structure sounds most impressive.

WFOE: the default for most founders

For many foreign founders, the WFOE is the workhorse structure. You own 100% of the Chinese limited liability company, you appoint the legal representative and management, and you control the business directly. A WFOE can engage in the business activities listed in its approved scope, sign contracts, hire staff, invoice customers and remit profits abroad after tax, subject to foreign exchange rules.

When a WFOE makes sense

What to watch

A WFOE is a separate Chinese legal person. It has its own registered capital, which must be subscribed and paid in according to the company's articles and the applicable registration rules. Capital requirements vary by industry and city, and some sectors remain on the negative list restricting or prohibiting foreign investment. You will also need a registered address, a company chop, tax registration, bank accounts and ongoing bookkeeping and annual reporting. The compliance load is real, but predictable.

For a Kazakhstani founder, a common practical question is how to fund the company. Capital contributions and shareholder loans are subject to foreign exchange registration and bank procedures. Plan the funding path early with your advisers rather than improvising after registration.

Joint venture: access with a partner

A Sino-foreign equity joint venture involves a Chinese partner holding part of the company. Historically, JVs were the required route in many restricted sectors; today the negative list is shorter, but some industries still require Chinese control or a local partner.

When a JV can be useful

What to watch

A JV is a marriage. Governance, deadlock resolution, dividend policy, related-party transactions, intellectual property ownership and exit mechanics should be negotiated in detail before signing. Founders from Kazakhstan should be especially careful about language: insist on a Chinese version and a translation you fully understand, and agree which version prevails. Cultural and management differences are manageable when the paperwork is clear and the expectations are written down.

Representative office: a listening post, not a business

An RO is the lightest presence. It can conduct market research, liaison and quality control on behalf of its foreign parent, but it cannot sign business contracts or earn revenue in its own name. ROs are registered with the market regulator and typically need a chief representative and a valid office address.

When an RO fits

Remember that even an RO has tax and reporting obligations in China, and converting an RO into a WFOE later is not automatic — it usually means closing one and registering the other. If you expect to earn revenue within a year or two, a WFOE is often the more efficient path from the start.

Branch: extending your foreign company

A branch is not a separate Chinese legal person; it is an extension of your existing foreign company. The parent bears ultimate liability. Branches can conduct business within their approved scope, but they are less flexible for some activities and can complicate accounting and liability management. They may suit established foreign companies with a clear, narrow China operation, but they are less common as a first structure for startup founders.

How to decide: ask four questions

Practical notes for founders from Kazakhstan

Kazakhstani founders often operate across multiple jurisdictions, and China rewards preparation. Expect to provide notarised and legalised corporate documents, translated and consistent across filings. Open a clear dialogue with a local bank early, because account opening and foreign exchange registration can take time. Choose a city based on your actual business — a trading hub, a manufacturing cluster, or a tech centre — rather than prestige. Keep your Kazakhstani tax position in mind: holding structures, permanent establishment risk and repatriation of profits should be reviewed with advisers in both countries.

Finally, treat entity selection as a business decision, not a formality. The structure you register will shape your taxes, your liability, your ability to raise money and your exit options for years. Take the time to get it right, and confirm every detail with qualified professionals before you sign anything.
